Introduction

Many new business owners in Pakistan assume SECP and FBR are the same office, or that registering with one covers the other. Neither is true. The two bodies have different laws, portals, forms and deadlines. Confusing them is one of the most common causes of late filings and compliance notices.

This guide explains what each authority does, which registrations and filings your business structure needs, and how the two systems connect. It includes a worked compliance calendar and a section on checking your status online. Legal references are linked to official sources. Where a rule is time-sensitive, we say so and tell you where to confirm it.

Quick Answer: What Is the Difference Between SECP and FBR?

SECP and FBR do different jobs. SECP incorporates companies and supervises their corporate records under the Companies Act, 2017. FBR administers federal taxes, including income tax and sales tax, under tax laws. A company generally deals with both: SECP for incorporation and annual corporate filings, FBR for tax registration and returns.

Key points:

  • SECP gives a company its legal existence. FBR registers it as a taxpayer.
  • An annual return (SECP) is not an income tax return (FBR). Filing one does not satisfy the other.
  • A company incorporated through SECP’s eServices is issued an NTN through the SECP–FBR integration, but tax obligations continue after that.
  • Sole proprietors and most partnerships do not incorporate with SECP, but may still need FBR registration.

What Is SECP?

The Securities and Exchange Commission of Pakistan (SECP) is the corporate regulator. For most business owners it is the authority that creates the company and keeps its official record.

Legal basis and core functions

SECP administers the Companies Act, 2017 and related regulations. For a business owner, that means:

  • Incorporation: reserving the name, registering the company and issuing the certificate of incorporation.
  • Corporate records: directors, shareholders, registered office address, share capital and constitutional documents (memorandum and articles of association).
  • Statutory filings: annual returns and notices of changes such as new directors.
  • Oversight of company types: private limited companies, single member companies (SMCs), public companies, and Limited Liability Partnerships (LLPs) under the LLP Act, 2017.

What SECP does not do

SECP does not collect income tax, process your income tax return or decide your tax liability. Those functions belong to FBR. Incorporation does not settle your tax position.

SECP’s own pages describe the annual return and statutory forms, and a step-by-step view of how to register a private limited company with SECP is available if you are starting from scratch.

What Is FBR?

The Federal Board of Revenue (FBR) is Pakistan’s federal tax administration. It does not create companies. It registers persons and businesses for tax and collects what the law requires.

Core functions

  • Taxpayer registration: issuing the National Tax Number (NTN).
  • Income tax: administering the Income Tax Ordinance, 2001, including returns, withholding tax and audits.
  • Federal sales tax and federal excise: administering the Sales Tax Act, 1990 and the Federal Excise Act, 2005. Many provincial services taxes sit with provincial revenue authorities, so check which authority applies to your supply.
  • Taxpayer status: maintaining the Active Taxpayer List (ATL), which affects withholding rates on many transactions.
  • Filing portal: returns are filed through FBR’s IRIS system. See our guides to FBR IRIS registration and the complete IRIS registration guide for companies.

NTN, ATL and STRN in plain words

  • NTN: your tax identification number.
  • ATL status: whether you are currently treated as a filer for withholding purposes.
  • STRN: a sales tax registration number, relevant only if you must register for sales tax.

Having an NTN does not mean you are on the ATL, and being on the ATL does not mean you have an STRN. Our explainer on how ATL, NTN, STRN and SECP numbers differ goes deeper.

Think of it this way: SECP records who the company is. FBR assesses what the company owes. The two sets of records should agree, but they are filed separately.

Are SECP and FBR the Same Government Body?

No. They are separate federal bodies with different mandates, laws and systems. SECP is the corporate regulator under the Companies Act, 2017. FBR is the federal tax authority under laws such as the Income Tax Ordinance, 2001.

The confusion usually comes from the fact that they work together at one point: company incorporation. When a company is registered on SECP’s eServices portal, the NTN is issued through the integrated SECP–FBR system, so the founder does not need to visit an FBR office. That is a data link between two systems. It does not make them one body, and it does not merge their later filings.

To see how the identifiers differ, read our guide to how ATL, NTN, STRN and SECP numbers differ.

Do You Need Both? It Depends on Your Business Structure

The answer to “SECP or FBR, which is required?” depends on how your business is set up.

StructureSECP incorporation?FBR registration?Notes
Sole proprietorshipNoWhere tax law requires it, under the owner’s own NTNNot a separate legal entity
Partnership / AOPNo (not registered by SECP)Yes, as an Association of Persons where applicablePartnership registration follows the Partnership Act, 1932

Private limited companyYesYesThe most common structure for growing SMEs
LLPYes, under the LLP Act, 2017YesCheck the tax treatment of your specific LLP

Sole proprietors

A sole proprietor does not incorporate with SECP. The business is the individual. If you meet the tax law’s filing requirements, you register and file with FBR under your own NTN. Our guides on business NTN registration and who must file an income tax return cover this route.

Partnerships and AOPs

An AOP is a tax-law concept. For income tax purposes, a partnership is generally dealt with as an AOP with FBR. It has no SECP annual return because SECP is not its registrar.

Single member and private limited companies

These are SECP-registered companies, so they have two parallel sets of duties:

  1. Corporate duties to SECP (annual return, changes to directors, ownership declarations).
  2. Tax duties to FBR (income tax return, withholding statements and, where applicable, sales tax returns).

A company that is dormant or has no revenue still has to consider both sets of duties. Do not assume inactivity removes them. Confirm your position with a qualified professional.

How SECP and FBR Connect: The NTN Link

The two systems are linked at incorporation. SECP’s ease-of-doing-business page explains that NTN is issued through the SECP–FBR integrated online system, so applicants need not visit an FBR office. FBR’s own announcement describes the launch of a one-window facility under which a company registered on eServices receives its NTN at the company’s email address.

What this means in practice

  • You do not usually apply separately for a first NTN when you incorporate through eServices.
  • You do still need to set up your FBR IRIS access and keep your tax profile accurate.
  • Receiving an NTN is not the same as being an active filer. You still have to file returns.
  • Sales tax registration is a separate step, and only where your activity requires it. See our sales tax registration guide.

Which Comes First: SECP or FBR? A Step-by-Step Order

For a company, the sequence is straightforward:

  1. Choose your structure. Compare a sole proprietorship, SMC, private limited company or LLP against your ownership, liability and tax needs.
  2. Check the name. Use SECP’s name search before applying.
  3. Prepare documents. Typically this includes the CNICs of directors and shareholders, a registered office address and constitutional documents. Confirm the exact current list on SECP eServices before applying.
  4. Incorporate through SECP eServices. Pay the prescribed fee and receive the certificate of incorporation.
  5. Collect your NTN. It is issued through the SECP–FBR integration.
  6. Set up FBR IRIS access. Use the guidance in our IRIS registration guide for companies, then verify the NTN using online NTN verification.
  7. Register for sales tax if required. This applies only if your supplies or activity trigger it.
  8. Open a company bank account and keep proper books. Your accounts will feed both your SECP and FBR filings.
  9. Start your compliance calendar. Record AGM, annual return and tax return dates from day one.

For a wider walk-through, see ICT’s overview of company registration and compliance in Pakistan.

SECP Registration: What the Process Actually Looks Like

SECP registration is done online through SECP eServices. The exact screens and required fields change over time, so treat this as a practical overview and confirm the current form on the portal.

Step-by-step overview

  1. Decide the company type. A single member company, private limited company or LLP each follows different rules. Our guide on how to register a private limited company with SECP covers the most common route.
  2. Create an eServices user account and log in.
  3. Propose the company name. SECP’s reforms combined name reservation and incorporation into a single application, so you do not file two separate forms.
  4. Enter company details: registered office address, principal line of business, directors, shareholders and share capital.
  5. Prepare the constitutional documents. These are the memorandum and articles of association. SECP has made digital templates available for applicants.
  6. Pay the prescribed fee electronically.
  7. Receive the certificate of incorporation. SECP states that the certificate is sent by email at the time of incorporation.
  8. Receive the NTN. It is issued automatically through the SECP–FBR link, as described above.

What you should have ready

  • CNICs (or passports for foreign directors and shareholders)
  • A valid email address and phone number for each director
  • A registered office address in Pakistan
  • A clear description of the business activity

What registration does not do

It does not register you for sales tax, set up your IRIS access, or satisfy any tax return. Those are FBR tasks, covered next. For the wider picture, see ICT’s overview of company registration and compliance in Pakistan.

FBR Registration: What the Process Actually Looks Like

FBR registration depends on who you are. The route for an individual differs from the route for a company or AOP.

For individuals (including sole proprietors)

Individuals register through the FBR IRIS portal under “Registration for Unregistered Person”. The usual sequence is:

  1. Open the IRIS portal and choose the registration option for unregistered persons.
  2. Enter your CNIC, a mobile number and an email address.
  3. Verify with the codes sent by SMS and email.
  4. Log in with the credentials FBR sends you.

For individuals, the 13-digit CNIC is recognised as the NTN, so no separate number is issued. FBR’s own documentation also notes that the mobile SIM should be registered against your own CNIC and not already in FBR’s records. Using someone else’s number causes login and recovery problems later.

ICT’s step-by-step guides cover this in more detail: how to register an NTN online and steps to obtain an NTN in 2026.

For companies

An SECP-incorporated company gets its 7-digit NTN through the integration. After that, you should:

  • log in to IRIS and check that the company’s tax profile is correct;
  • confirm the authorised representative and contact details;
  • verify the NTN online (see NTN verification online).

Our complete IRIS registration guide for companies walks through this.

For AOPs

An AOP does not go through SECP. It enrols directly with FBR and receives a 7-digit NTN.

Sales tax registration

This is separate from the NTN. You need it only if your activity requires it. See our sales tax registration guide. If your service falls under provincial sales tax, the registration may be with a provincial revenue authority instead.

SECP vs FBR for Sole Proprietors and Freelancers

Sole proprietors and freelancers are the group most often told “you must register with SECP.” That is not automatically true.

Sole proprietors

A sole proprietorship is not a separate legal entity, so SECP does not incorporate it. The owner deals with FBR under their own NTN, which is their CNIC. Whether you must file a return depends on the income thresholds and rules in the Income Tax Ordinance, 2001. Check who must file an income tax return for the current position.

Freelancers

A freelancer can work in two ways:

Operate as an individualIncorporate (e.g. single member company)
SECPNot requiredRequired
FBRNTN under CNIC; file as an individualCompany NTN; file as a company
LiabilityPersonalSeparate legal entity
Compliance loadLighterHeavier: annual returns, director notices, company tax return
SuitsEarly-stage or low-volume workClients who need a registered entity, or growth plans

Both routes involve FBR. Only the incorporated route involves SECP. The right choice depends on your client contracts, how you receive foreign payments, your tax position and how much compliance work you can handle. Take advice from a qualified professional before deciding.

Annual Compliance: What Each Authority Expects

SECP: the corporate side

Annual return (Form A or Form B). Section 130 of the Companies Act, 2017 requires the annual return. SECP explains that companies with share capital file Form A and those without share capital file Form B. SECP’s guidance sets the filing window at 30 days from the AGM for most companies. It also describes exemptions from filing where the particulars have not changed since the last return, so check whether you qualify before assuming either way. ICT’s SECP annual return filing guide walks through the process.

Notice of changes to directors and officers (Form 29). Under section 197, SECP states that Form 29 is due within 15 days of an appointment or change in the particulars reported.

Beneficial ownership. Section 123A of the Companies Act, 2017 requires companies to identify and record their ultimate beneficial owners. SECP has issued press releases on its online UBO declaration facility. The form reference has changed over time. Press reports of a recent enforcement round say the declaration of compliance now goes with the annual return under the Companies Regulations, 2024 (reported as Form 19). Always check the current form on eServices.

AGM. Private companies are commonly advised to hold the AGM within 120 days of their financial year-end. Single member companies follow different rules. Confirm the exact requirement for your company type in the Companies Act, 2017 on Pakistan Code.

FBR: the tax side

Annual income tax return. Section 118 of the Income Tax Ordinance, 2001 sets the due dates. For Tax Year 2026, published guidance indicates that companies with a 30 June year-end file by 31 December 2026, while companies with a special tax year have a different date. Individuals and AOPs face an earlier deadline. FBR sometimes announces extensions, so confirm on FBR’s official site before relying on a date. For the process itself, see our guide to filing a business income tax return on IRIS 2.0 and the documents required for Tax Year 2026.

Withholding tax statements. Companies that deduct tax on payments must file the statements the law requires. See the section 165 withholding statement guide and the withholding tax handling guide.

Sales tax returns. If you are registered, periodic returns follow a separate schedule from the income tax return. Our comparison of sales tax vs income tax explains why they are treated differently.

Worked Example: A Compliance Calendar for a June Year-End Company

This is an illustration only. It assumes a private limited company with a 30 June 2026 year-end that holds its AGM on the last permitted day. Dates depend on your company type and should be verified against the law.

For a company with a 30 June year-end, the AGM window is the tightest date in this cycle. ICT’s Pakistan tax calendar 2026 helps you track the FBR dates alongside your SECP ones.

SECP Registration Cost vs FBR Registration Cost

Fees change, so this guide does not quote amounts. Always check the official source before budgeting.

Where to find current figures

The largest avoidable cost is usually not the registration fee. It is late filing and the penalties that follow. See FBR late filer surcharge 2026 for the FBR side.

What Happens If You Miss a Deadline?

With SECP

Section 130(6)(b) provides that contravention of the annual return requirements is an offence liable to a level 1 penalty. This appeared in a published SECP adjudication reported by ProPakistani. Late filing fees may also apply. On ownership disclosure, a news report on recent notices states that Section 123A(3) exposes a company to a penalty of up to PKR 10 million and responsible officers to up to PKR 1 million. Verify the current text on Pakistan Code.

With FBR

Late or missed returns can bring penalties under the Income Tax Ordinance, 2001 and can affect your ATL status, which in turn affects withholding rates on many transactions. Penalty amounts and surcharges have changed in recent Finance Acts, so read the current provisions rather than relying on older figures. For updates, see ICT’s guides to the FBR late filer surcharge, non-filer penalties and how to reply to FBR notices.

A practical point

SECP and FBR penalties are separate. Paying a penalty to one does not resolve a default with the other.

Common Mistakes in SECP and FBR Compliance

  1. Assuming the NTN completes the tax setup. The NTN identifies you. It does not file your return.
  2. Treating the annual return as the tax return. They are different documents with different deadlines.
  3. Forgetting Form 29 after a director change. The 15-day window is short.
  4. Ignoring sales tax triggers. Registration depends on your activity, not just company status.
  5. Letting accounting records and tax returns drift apart. Mismatches invite questions from both authorities.
  6. Neglecting beneficial ownership records. This is now an active enforcement area.
  7. Assuming a dormant company has no duties. Confirm your obligations, or wind up properly if the business has stopped.
  8. Relying on an extension that has not been announced. Check FBR directly.

Expert Tips and Best Practices

  • Build one compliance calendar that lists both SECP and FBR dates, with named owners.
  • Keep the same data in both systems. Director names, addresses and ownership should match everywhere.
  • Hold your AGM early. Everything on the SECP side hangs off it.
  • Separate legal duties from good practice. An annual internal review is a recommendation, not a legal requirement.
  • Keep supporting documents (board resolutions, share transfer records, tax challans) in an organised file.
  • Use official portals for final confirmation. Rules, forms and fees change.

How to Verify Your Status Online

  • Company status: use SECP’s company search to confirm that the company exists and check its registration details.
  • NTN and filer status: see ICT’s guides to verifying an NTN online and checking ATL status.
  • Filing history: log in to eServices for SECP filings and to IRIS for FBR filings.

Recent Developments to Watch

Always confirm effective dates against the official notification.

Frequently Asked Questions

Is SECP the same as FBR?
No. SECP regulates companies under corporate law. FBR administers federal taxes. They are separate bodies with separate portals and filings.

Does SECP registration make me a tax filer?
No. Incorporation creates the company, and an NTN is issued through the SECP–FBR integration. Becoming and staying a filer requires filing your tax returns with FBR.

Do companies need both SECP and FBR registration?
In practice, yes. A company is incorporated with SECP and registered for tax with FBR, and the NTN is issued as part of the eServices process.

Does SECP issue an NTN?
SECP does not issue it on its own authority. The NTN is issued through the integrated SECP–FBR system when a company is incorporated through eServices.

Does FBR register companies?
No. FBR registers taxpayers. Companies are incorporated by SECP.

What is the difference between a company registration number and an NTN?
The registration number identifies the company on SECP’s record. The NTN identifies it as a taxpayer with FBR.

Do sole proprietors need SECP registration?
No. A sole proprietorship is not incorporated with SECP. It may still need FBR registration under the owner’s NTN, depending on tax law.

Is an SECP annual return the same as an income tax return?
No. The annual return updates the corporate record under section 130 of the Companies Act, 2017. The income tax return declares income to FBR under the Income Tax Ordinance, 2001.

What is the FBR return deadline for companies for Tax Year 2026?
Published guidance indicates 31 December 2026 for companies with a normal tax year ending 30 June. Check FBR for any change.

Which portals do I use?
SECP eServices for corporate filings and FBR IRIS for tax filings.

What if I miss an SECP or FBR deadline?
Penalties, late fees and, for FBR, effects on filer status may follow. Rectify the default promptly and take professional advice on the current rules.

Why Choose ICT for SECP and FBR Compliance Skills?

SECP and FBR compliance sits at the point where corporate law and taxation meet. The Institute of Corporate and Taxation (ICT) teaches both sides under one roof. Its course range includes the Company Secretary course for corporate and statutory work and the Certified Tax Advisor course for income tax and FBR practice. It also publishes practical guides on SECP filings, NTN registration and IRIS, so you can see how the topics in this article apply in real filings.

If you are based in Islamabad, ICT also offers local learning options such as FBR IRIS training in Islamabad and a corporate law course in Islamabad. To compare programmes and find the one that matches your background, visit the ICT courses page or contact the team.

Conclusion

SECP and FBR serve different purposes. SECP gives your business its legal identity and keeps its corporate record. FBR registers you as a taxpayer and assesses your tax. For a company, the two connect at incorporation through the NTN, then run on separate tracks: an annual return and director notices on one side, income tax and sales tax filings on the other.

The safest approach is to treat them as two calendars managed together. Know your structure, track every date, keep your records consistent and confirm current rules on official sources.

Next step: if you want to handle this professionally, ICT’s Company Secretary course builds the corporate compliance side, and the Certified Tax Advisor course covers the FBR side. You can browse all ICT courses or contact the team to ask which programme suits your background.
