SECP LLP Registration Pakistan 2026: Fees & Process

Introduction
A limited liability partnership (LLP) lets two or more people run a business together while keeping their personal assets separate from the firm's debts. In Pakistan, the structure is regulated by the Securities and Exchange Commission of Pakistan (SECP) under the Limited Liability Partnership Regulations, 2018 and the Limited Liability Partnership Act, 2017.
Founders usually ask the same practical questions. What does LLP registration cost? Which documents are needed? How long does it take, and what must be done afterwards? Many online guides mix up SECP's company fees with LLP fees, or quote figures without a source. This guide keeps the two apart and ties each figure to an official document.
You will find the process step by step, a fee table, a documents checklist, a timeline, a comparison with other structures and a compliance checklist. Fees and procedures were checked against SECP's published documents on 14 October 2026. Always confirm the amount shown in eZfile before you pay.
Quick Answer
To register an LLP in Pakistan, two or more partners reserve a name with SECP, then file LLP-Form-III with the signed LLP agreement and ID copies through eZfile. The official fees in SECP's LLP schedule are Rs 100 for name reservation and Rs 1,000 for incorporation online (Rs 200 and Rs 2,000 on paper). SECP lists no LLP-specific timeline.
Key points
- At least two partners are needed; there is no minimum capital in the Regulations.
- Official online fees total Rs 1,100 for a new LLP (Rs 2,200 if filed on paper), before bank, notary and professional charges.
- A reserved name is valid for 30 days, so the incorporation application must follow within that window.
- Incorporation does not finish the job: tax registration, an auditor, beneficial-ownership records and partner-change filings follow.
What Is an LLP in Pakistan?
According to SECP's guide to incorporating an LLP, an LLP is a form of business with the status of a legal entity separate from its partners, with perpetual succession. Any two or more persons associated to carry on a lawful business with a view to profit may form one after registration with SECP.
In plain terms, the LLP owns its assets, signs its contracts and owes its debts. A partner who joins or leaves does not end the LLP.
The legal framework
Three documents matter most:
- the Limited Liability Partnership Act, 2017, which creates the structure;
- the Limited Liability Partnership Regulations, 2018, which contain the forms, procedures and fee schedule;
- the 2020 amendment (S.R.O. 925(I)/2020), which added beneficial-ownership rules, discussed below.
SECP also hosts the official LLP forms page, where each form can be downloaded.
Pakistani LLP or US LLC?
These are different structures under different laws. A US LLC is formed in an American state; a Pakistani LLP is formed with SECP. If you are looking at the American option, see ICT's LLC formation course and its guide to US LLC tax filing from Pakistan.
Why Choose an LLP? Benefits and Limits
Benefits
- Separate legal personality. The LLP, not the partners, is the contracting party.
- Flexible internal rules. Management, profit sharing and exit terms sit in the LLP agreement.
- Low official filing fees. The LLP schedule is far smaller than the company schedule (compared below).
- Contributions are not limited to cash. Under Regulation 14, contributions can include money, negotiable instruments, property, intangibles, knowledge and skills, as set out in the agreement.
Limits to weigh
- Newer and less familiar. Some banks, buyers and investors know private limited companies better.
- Ongoing duties are real. An auditor, accounts, partner-change notices and beneficial-ownership records all apply.
- Tax treatment needs care. Published commentary differs on how an LLP is taxed (see the tax section). Get written advice before choosing the structure.
A structure that suits a two-person consultancy may not suit a business planning to raise outside equity. Think about who will own the business in five years, not only today.
Who Can Be a Partner? Eligibility and Designated Partners
Minimum partners
SECP's guidance says two or more persons may form an LLP. The Regulations we reviewed set no minimum contribution.
Foreign partners
Regulation 8 asks for a passport copy where a partner is a foreigner, so foreign individuals can appear in the incorporation documents. LLP-Form-III also has a section for body corporate partners. Sector rules, approvals and tax consequences can still apply, so check your own case before filing.
Designated partners
A designated partner handles filings and signs on the LLP's behalf. Appointing one is optional. LLP-Form-III states that if none is named, every partner is a designated partner.
Under Regulation 12, a person cannot be a designated partner if they are a minor, of unsound mind, an undischarged insolvent, have applied to be adjudicated insolvent (application pending) or suffer another disqualifying disability. A designated partner files consent on LLP-Form-IV, and the LLP files the particulars with the registrar within 30 days of receiving that consent.
SECP LLP Registration Requirements and Documents
Use this checklist, based on Regulation 8 and SECP's incorporation guide.
| Document | Purpose |
|---|---|
| LLP-Form-I (name reservation) | Reserves the proposed name; three options required |
| Name availability letter | Proof the name was allowed |
| LLP-Form-III (incorporation) | The main application, including registered office, business objects and partner details |
| Copies of NICs of partners and designated partners; passport copy for a foreigner | Identity |
| LLP agreement, executed by the partners, witnessed and notarised | Governs the partners' rights and duties |
| Consent of designated partner(s), if any (LLP-Form-IV) | Shows the person agrees to act |
| Authority letter signed by all partners | Needed where someone else files on their behalf |
| Statement of the applicant (Part III of Form III) | Confirms the legal requirements have been met; includes confirmation on beneficial-owner information |
| Original paid bank challan | Physical filings only |
The statement in Part III may be made by an advocate entitled to appear before a High Court or the Supreme Court, a practising chartered or cost and management accountant engaged in forming the LLP, or a person who subscribed to the incorporation document. In other words, the Regulations do not make hiring a professional compulsory.
A registered office address
Form III asks for a registered office address, and the LLP must keep its books of account there. Plan the address before you file.
SECP LLP Registration Process: Step by Step
Step 1: Create your eZfile user account
Online filing runs through SECP's eZfile portal at leap.secp.gov.pk. SECP's FAQs say users can sign up as a National user or as an Overseas NICOP holder. Each person who must sign needs a user ID.
Step 2: Choose and reserve the name
Submit LLP-Form-I with three name options in order of preference; only one can be allowed. The name must end with the letters “LLP” and must satisfy section 6 of the Act. Regulation 4 prohibits words suggesting government, courts, international bodies and similar, for example “Federal Government”, “Authority”, “Registered”, “Co-operative” and “United Nations”.
If the registrar is satisfied, the name is reserved for 30 days. If it is refused, you receive a refusal order with reasons and may appeal to SECP within 30 days.
Step 3: Draft and sign the LLP agreement
The agreement fixes how the LLP will work in practice. Typical clauses cover:
- each partner's contribution and profit-sharing ratio;
- who the designated partners are and what they may sign;
- how decisions are taken and how disputes are resolved;
- admission, retirement and exit of partners;
- what happens to a partner's share on death or transfer.
It must be executed by the partners, witnessed and notarised. Take time over it. Changes later require a filing with the registrar.
Step 4: File LLP-Form-III with the documents
Within 30 days of the name availability, file the application with the documents above. Pay the incorporation fee through the system (online) or by challan (physical).
Step 5: Receive the certificate of incorporation
If the registrar is satisfied that the documents are complete and conform to the Act and Regulations, the LLP is registered and a certificate of incorporation is issued (LLP-Annexure-II) carrying the LLP Incorporation Number. The LLP can then start business.
Step 6: Complete post-incorporation tasks
Appoint the first auditor within 60 days, register for tax, open a bank account and set up the beneficial-ownership register. Each is covered below.
SECP LLP Registration Fees in 2026
The fee schedule appended to the LLP Regulations lists the following. We found no later amendment to this schedule in the SECP LLP resources we reviewed on 14 October 2026.
| Item | Online (eZfile) | Physical filing |
|---|---|---|
| Reservation of name | Rs 100 | Rs 200 |
| Registration of LLP | Rs 1,000 | Rs 2,000 |
| Official total for a new LLP | Rs 1,100 | Rs 2,200 |
| Change or rectification of name | Rs 500 | Rs 1,000 |
| Conversion of a firm to an LLP | Rs 500 | Rs 1,000 |
| Conversion of a private limited company to an LLP | Rs 500 | Rs 1,000 |
| Filing or registering a notice, accounts or document under the Act | Rs 100 | Rs 200 |
| Certified true copy (per document, other than LLP agreement and financial statements) | Rs 100 | Rs 200 |
| Inspection of documents | Rs 100 | Rs 200 |
| Appeal | Rs 500 | Rs 1,000 |
The schedule notes that online rates are subject to availability of the online facility. Partner changes (Form V), address changes (Form VII) and agreement changes (Form VIII) refer to “fee specified in the Fee Schedule”; the filing item above appears to apply, but confirm the amount that eZfile generates.

What the official fees do not include
- bank or payment-channel charges;
- notarisation and attestation costs for the LLP agreement;
- any fee charged by a lawyer, chartered accountant or consultant.
Professional fees are a commercial matter between you and the adviser. They are not government fees, so check what a quote includes.
Do not confuse LLP fees with company fees
SECP's Seventh Schedule to the Companies Act, 2017 (updated to 20 April 2026) is a separate and much larger schedule. For a company whose nominal share capital does not exceed Rs 100,000, it lists Rs 6,655 online (Rs 12,100 on paper), plus Rs 100 to file the application, with name reservation at Rs 1,000 online (Rs 2,000 on paper). The schedule also notes a 10% annual increase for those company fees. Adding those items gives roughly Rs 7,755 online for the smallest private company. That total is our arithmetic from the schedule, so use SECP's company fee calculator for your case.
The gap is real, but official fees are only one input. Compliance cost, banking and investor expectations also matter.
How Long Does SECP LLP Registration Take?
The honest answer is that SECP does not publish a separate LLP processing time. Its turnaround-time table lists four working hours for company name reservation and incorporation once a complete application is filed, but it does not list LLPs. Some private websites say one to two weeks; we could not verify that from an official source, so plan on the stages below and allow for queries.
| Stage | Time limit or period | Source |
|---|---|---|
| Reserved name stays valid | 30 days from availability | Regulation 3 |
| File incorporation application | Within the 30-day name window | Regulation 3 |
| Appeal against name refusal | Within 30 days of the order | Regulation 3 |
| File designated partner's consent | Within 30 days of receiving it | Regulation 11 |
| Appoint first auditor | Within 60 days of incorporation | Regulation 17 |
The biggest delays are usually within your control: an unsigned agreement, a mismatched name or an incomplete authority letter.
LLP vs Private Limited Company vs Partnership Firm
| Feature | LLP | Private limited company | Ordinary partnership firm |
|---|---|---|---|
| Governing law | LLP Act, 2017 and Regulations, 2018 | Companies Act, 2017 | Partnership Act, 1932 |
| Separate legal entity | Yes | Yes | Not in most legal contexts |
| Partners' or members' liability | Limited to the structure's terms | Limited | Unlimited personal liability |
| Founding document | LLP agreement | Memorandum and articles | Partnership deed |
| Official fees (smallest case, online) | Rs 1,100 | About Rs 7,755 (our arithmetic) | Not covered by SECP's LLP schedule |
| Regulator for formation | SECP | SECP | Registrar of Firms (optional) |

Which fits which situation? (illustrative scenarios)
- Two professionals starting a consultancy may value the low formation cost and flexible agreement of an LLP.
- A founder-led start-up planning to issue shares to investors will usually find the company structure more familiar to investors.
- A family trading business already running as a firm may consider converting to an LLP to gain limited liability.
These are examples, not recommendations. For new ventures, ICT's article on SECP's start-up-friendly regulations gives useful background.
After Incorporation: Tax Registration and Banking
Tax registration
SECP incorporation and FBR registration are separate steps. Do not assume that a certificate from SECP also registers your LLP for tax. Check your position on the Federal Board of Revenue website and with a qualified adviser. ICT's guides explain the practical steps:
- business NTN registration guide
- IRIS registration for companies and businesses
- the difference between ATL, NTN, STRN and SECP registration
- registering for sales tax, if your activity requires it
How is an LLP taxed?
This is the point where published commentary disagrees. The LLP Act makes an LLP a body corporate with a separate legal personality, and the Income Tax Ordinance, 2001 treats companies and associations of persons differently. Some firms say an LLP is taxed like a company; others say it is treated like an association of persons. We have not quoted a rate because we could not confirm one from an official FBR source. Before you choose the structure, ask a qualified tax adviser for written advice based on the current Ordinance and your activity. ICT's income tax compliance guide and corporate tax overview are helpful starting points.
Bank account
Banks set their own onboarding requirements. Ask your bank in advance which documents it wants from an LLP, and keep certified copies of the incorporation certificate and LLP agreement ready. Also review withholding tax on bank transactions.
Ongoing LLP Compliance Checklist
The obligations below come from the LLP Regulations, 2018 as amended in 2020. Confirm any later changes on SECP's website.
| Obligation | Timing | Form or source |
|---|---|---|
| File designated partner's consent | Within 30 days of receiving consent | LLP-Form-IV, Reg. 11 |
| Appoint first auditor | Within 60 days of incorporation | Reg. 17 |
| Notify admission, cessation or change in partner particulars | Within 15 days | LLP-Form-V, Reg. 13 |
| Notify change of registered office | Within 15 days | LLP-Form-VII, Reg. 27 |
| File changes to the LLP agreement | Within 7 days | LLP-Form-VIII, Reg. 28 |
| Inform registrar of transfer of a partner's profit-share rights | Within 7 days | LLP-Form-VIII, Reg. 15 |
| Prepare financial statements | Within 4 months of year-end | Reg. 16 |
| Keep books of account at registered office (accrual, double entry) | Preserve at least 10 years | Reg. 16 |
LLPs notified by SECP must also file their financial statements with the registrar, with the prescribed fee.
Beneficial ownership
Since 2020, every LLP must identify its ultimate beneficial owners. The Regulations define an ultimate beneficial owner as a natural person who ultimately and effectively owns or controls the LLP, or who shares at least one quarter of its net profits and losses.
- The LLP issues a notice (LLP-Form-IX) to relevant partners.
- Each partner replies with a declaration (LLP-Form-X) within 14 days, and again within 14 days of any change (LLP-Form-XI).
- The LLP records the details in a register of ultimate beneficial owners.
- The LLP files a declaration of compliance (LLP-Form-XII) within 15 days of receiving declarations, and then annually.
The forms state that contravening section 8 of the Act is an offence that can attract a fine of up to one million rupees. Read SECP's amendment notification for the exact wording.
For companies, ICT also explains SECP annual return filing; that guide is about companies, not LLPs, so use it for comparison only.
Converting a Firm or Private Company into an LLP
Existing businesses can convert using LLP-Form-VI, with an official fee of Rs 500 online or Rs 1,000 on paper.
- Firm to LLP (Part I). The partners declare that the firm appears able to pay its debts as they fall due, that all partners and creditors agree, and that the LLP's partners are exactly the firm's partners.
- Private company to LLP (Part II). The shareholders declare that no security interest subsists in the company's assets and that the LLP's partners are exactly the company's shareholders.
Attach NIC or passport copies, the signed and notarised LLP agreement, creditor consents where relevant, the firm's registration certificate and any other document the registrar requires. Take tax and contract advice first, because assets, licences and contracts may need to move across.
Common Mistakes to Avoid
- Letting the name lapse. The reservation lasts 30 days. Miss it and you start again.
- Using restricted words. Regulation 4 blocks terms such as “Authority”, “Registered” or “Co-operative”.
- Forgetting the “LLP” suffix. SECP's guide says the name must end with these letters.
- Signing a weak agreement. Vague profit-sharing or exit clauses cause disputes and later filings.
- Mixing up fee schedules. LLP fees and company fees are different documents.
- Assuming SECP registration covers tax. Handle FBR separately.
- Ignoring beneficial-ownership duties. The penalty is a fine of up to one million rupees.
- Missing the 15-day and 7-day change deadlines. Diary them from the first day.
Expert Tips for a Smooth Application
- Agree the three name options with all partners before you open eZfile.
- Draft the agreement first, then complete Form III from it so the details match.
- Keep colour scans of every NIC and passport in one folder.
- Check the fee amount that eZfile generates against the table above.
- Start the NTN and bank process the same week the certificate arrives.
- Set calendar reminders for the 60-day auditor appointment and the four-month accounts deadline.

At least two.
Is there a minimum capital requirement?

Can I register an LLP online?
Yes. Applications can be filed online through eZfile or on paper, and the online fee is lower.
How long does SECP take to approve an LLP?
SECP does not publish an LLP-specific turnaround time. Its published four-working-hour target covers company name reservation and incorporation only.

No law we reviewed makes it compulsory. The applicant's statement can be made by a subscriber to the incorporation document, though many people prefer professional help.

The Regulations provide for a passport copy where a partner is a foreigner. Check sector rules and tax consequences for your case.
Does an LLP need an audit?
The Regulations require partners to appoint an auditor, with the first appointment within 60 days of incorporation. Confirm the current position with SECP or your adviser.
Can an existing partnership or private company convert to an LLP?
Yes, using LLP-Form-VI, subject to the conditions described above.
What happens if a partner leaves?
The LLP continues. File LLP-Form-V within 15 days and update the LLP agreement filing within 7 days where it changes.
Conclusion
Registering an LLP with SECP is straightforward on paper: reserve a name, file Form III with a signed and notarised agreement, and receive the certificate. The official fees are modest at Rs 1,100 online. The real work lies in a well-drafted agreement, correct tax set-up and disciplined compliance afterwards.
If you are weighing structures, compare the LLP with a private company using official fee schedules and written tax advice, not headlines. Verify every figure in eZfile on the day you file, because fees and procedures can change.
